Terms of Use

These terms govern your access to and use of cuspforge.com. They are a binding agreement between you and Cuspforge. Please read them — particularly the sections on submissions, disclaimers and liability, which affect your legal rights.

01Acceptance of these terms

By accessing, browsing or otherwise using this website, you confirm that you have read, understood and agree to be bound by these Terms of Use and by our Privacy Policy. If you do not agree with any part of them, please do not use the website.

These terms apply to every visitor, whether or not you submit information to us.

02Who we are

Cuspforge is a technology venture studio based in Sharjah, United Arab Emirates. In these terms, “Cuspforge”, “we”, “us” and “our” refer to Cuspforge; “you” and “your” refer to the user of this website; and “the website” means cuspforge.com and its content.

03Eligibility

This website is intended for a professional audience. By using it, you represent that you are at least 18 years old and that, where you act on behalf of an organisation, you have authority to bind that organisation to these terms.

04Permitted use

Subject to your compliance with these terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to access and view this website for lawful informational and business purposes.

You may quote or reference reasonable extracts of our published content for commentary, research or reporting, provided you attribute it to Cuspforge, do not alter its meaning, and do not present it as your own. No other rights are granted, whether by implication or otherwise.

05Prohibited conduct

You agree not to:

  • Use the website for any unlawful purpose, or in breach of any applicable law or regulation.
  • Copy, reproduce, republish, mirror, frame, sell or commercially exploit any part of the website without our prior written permission.
  • Attempt to gain unauthorised access to the website, its servers, or any connected system or network.
  • Probe, scan or test the vulnerability of the website, or circumvent any security or authentication measure.
  • Introduce viruses, malware, or any other code intended to disrupt, damage or impair the website.
  • Use automated means — bots, scrapers, harvesters — to extract content or data, other than search engine crawlers observing standard directives.
  • Impose an unreasonable load on our infrastructure, or interfere with any other person's use of the website.
  • Use the contact channels to transmit spam, chain messages, unsolicited advertising or unlawful content.
  • Use our name, marks or content in a way that suggests an endorsement, affiliation or partnership that does not exist.
  • Remove, obscure or alter any copyright, trademark or other proprietary notice.

We may suspend or block access to the website where we reasonably believe these terms have been breached.

06Intellectual property

All content on this website — including text, design, layout, graphics, logos, icons, illustrations, animations, source code and its arrangement — is owned by Cuspforge or licensed to us, and is protected by copyright, trademark and other intellectual property laws in the United Arab Emirates and internationally.

“Cuspforge”, “Certifada”, “Crucible”, “Codex”, “Azimuth”, the Cuspforge mark and associated brand elements are trademarks of Cuspforge, whether registered or unregistered. Nothing on this website grants any licence or right to use them without our prior written consent.

Third-party names and marks that appear on the website remain the property of their respective owners and are used for identification purposes only.

07Submissions and ideas

Read this section carefully before sending us a proposal. As a venture studio, we develop products independently and across many of the same domains our correspondents work in.

If you send us an enquiry, proposal, concept, suggestion, feedback or other material (a “Submission”), you agree that:

  • The Submission is provided voluntarily and on a non-confidential basis, unless we have signed a written confidentiality agreement with you covering it in advance.
  • You have the right to share it, and it does not infringe the intellectual property, confidentiality or other rights of any third party.
  • You grant Cuspforge a worldwide, royalty-free, perpetual and irrevocable licence to use, reproduce and incorporate the Submission for the purpose of evaluating it and responding to you, and to use any general feedback or suggestions to improve our products without obligation to you.
  • We may already be developing, or may in future independently develop, products, features or ideas similar or identical to your Submission. Nothing in these terms restricts our ability to do so, and no compensation is owed to you in that event.
  • We are under no obligation to review, respond to, keep, return or act on any Submission.

If your idea is genuinely confidential, do not send it through this website. Contact us first and we will discuss putting an appropriate confidentiality agreement in place.

08Communications with us

The contact form on this website prepares a message in your own email client, which you then send yourself. Delivery therefore depends on your email provider, and we cannot guarantee that any message reaches us. Email is not a secure medium; please do not send confidential, sensitive or financial information through it.

Correspondence with us — including discussions of scope, pricing or timelines — is exploratory and does not create a contract, engagement or obligation of any kind. Only a signed written agreement between you and Cuspforge does that.

09Our venture platforms

Certifada, Crucible, Codex, Azimuth and any future Cuspforge venture are separate products with their own terms of service, privacy policies, service levels and commercial arrangements. These Terms of Use govern this website only. Your use of any venture platform is governed exclusively by the terms published on that platform.

10Third-party links

This website links to destinations we do not operate, such as LinkedIn and our venture platforms. We provide those links for convenience. We do not control, endorse or take responsibility for the content, policies, availability or practices of any third-party site, and your use of them is at your own risk and subject to their terms.

11No advice, no offer

The content of this website is provided for general information about Cuspforge and its ventures. It does not constitute legal, financial, investment, tax or professional advice, and it should not be relied on as a substitute for advice from a qualified professional who knows your circumstances.

Nothing on this website constitutes an offer, solicitation or invitation to invest in Cuspforge or any of its ventures, in any jurisdiction, nor an offer to sell or supply any product or service on particular terms.

12Products in development

Some ventures described on this website are in development, in private beta, or not yet publicly released. Descriptions of unreleased products reflect our current intentions and are forward-looking in nature. Features, availability, timelines, naming and pricing may change materially or be discontinued, and no statement on this website is a commitment to deliver any product or feature at any particular time.

13Availability and changes

We aim to keep the website available and its content accurate, but we may modify, suspend, restrict or withdraw all or part of it at any time, with or without notice, including for maintenance, security or commercial reasons. We are not liable to you for any such change or unavailability.

We may revise these terms from time to time. The revision date at the top of this page reflects the current version, and continued use of the website after a revision constitutes acceptance of the updated terms. Material changes will be brought to your attention by reasonable means.

14Disclaimer of warranties

To the fullest extent permitted by applicable law, the website and its content are provided “as is” and “as available”, without warranty of any kind, whether express, implied or statutory — including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that the website will be uninterrupted, timely, error-free or free of harmful components, or that any defect will be corrected. Nothing in this section excludes a liability that cannot lawfully be excluded.

15Limitation of liability

To the fullest extent permitted by applicable law, Cuspforge and its founders, directors, employees, agents and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, business, goodwill, data or anticipated savings, arising out of or connected with your use of, or inability to use, this website — regardless of the theory of liability and even if we have been advised of the possibility of such damages.

To the fullest extent permitted by applicable law, Cuspforge shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to your use of this website.

Nothing in these terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be limited under applicable law.

16Indemnity

You agree to indemnify and hold harmless Cuspforge and its founders, directors, employees and agents from any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising out of your breach of these terms, your misuse of the website, or your violation of any law or the rights of a third party.

17Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these terms. By using this website you acknowledge that you have read it.

18Governing law and jurisdiction

These terms, and any dispute or claim arising out of or in connection with them or their subject matter — including non-contractual disputes — are governed by the laws of the United Arab Emirates as applied in the Emirate of Sharjah.

The courts of the Emirate of Sharjah have exclusive jurisdiction to settle any such dispute. Before commencing proceedings, we ask that you contact us so that we can attempt to resolve the matter directly and in good faith.

19General provisions

  • Entire agreement. These terms, together with the Privacy Policy, constitute the entire agreement between you and Cuspforge regarding this website, and supersede any prior understanding relating to it.
  • Severability. If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary, and the remaining provisions continue in full force.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign or transfer your rights under these terms. We may assign ours in connection with a merger, acquisition or restructuring.
  • Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
  • Language. These terms are published in English and Arabic. In the event of any discrepancy, the Arabic version prevails where required by the laws of the United Arab Emirates.
  • Survival. Sections 6, 7, 14, 15, 16 and 18 survive any termination of your use of the website.
